Terms of Service

These Terms of Service ("Terms") govern your access to and use of PodToSite (the "Service"), operated by Silverback Software, LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

PodToSite is a SaaS platform that ingests content from your YouTube channel and generates a static, AI-optimized website for your podcast. The Service includes transcript processing, topic extraction, analytics, and hosting of tenant sites at subdomains of podtosite.com or at custom domains you configure.

2. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

3. Your Content

You retain ownership of all content you provide, upload, or connect via third-party integrations (including your podcast episodes, transcripts, artwork, guest profiles, and branding). We do not claim any ownership rights to Your Content.

By using the Service, you grant PodToSite a worldwide, non-exclusive, royalty-free license to host, cache, process, transform, and display Your Content solely to operate and improve the Service on your behalf. This license ends when you remove Your Content or terminate your account, except as required by law or to the extent Your Content has been shared with others who have not removed it.

You represent and warrant that you have all necessary rights to Your Content, that it does not infringe any third-party rights, and that it complies with applicable law. You are solely responsible for Your Content and any claims arising from it.

4. YouTube and Third-Party Integrations

The Service integrates with YouTube via the YouTube Data API. By connecting your YouTube channel, you agree to be bound by the YouTube Terms of Service and the Google Privacy Policy. You may disconnect your YouTube channel at any time through your producer dashboard.

PodToSite is not affiliated with, endorsed by, or sponsored by YouTube or Google.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any law
• Upload or publish content that is defamatory, obscene, harassing, hateful, or infringes intellectual property rights
• Use the Service to distribute malware, phishing content, or spam
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by law
• Resell, sublicense, or white-label the Service without our written permission
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated means (bots, scrapers) to access the Service outside of published APIs

We reserve the right to suspend or terminate accounts that violate these rules.

6. Fees and Payment

Paid plans are billed monthly or annually in advance via Stripe. Fees are non-refundable except where required by law. You authorize us to charge your payment method on a recurring basis until you cancel. You may cancel at any time; cancellation takes effect at the end of the current billing period. Unpaid fees may result in suspension of the Service.

We may change pricing with at least 30 days' notice. New pricing takes effect at your next renewal.

7. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Silverback Software, LLC and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. No other rights are granted.

8. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms, fail to pay, or engage in fraudulent or harmful activity. Upon termination, your tenant sites will be taken offline, and your data will be retained for 30 days before deletion, during which you may request an export.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Service will be error-free, secure, or that AI-generated content will be accurate. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Silverback Software, LLC, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

11. Indemnification

You agree to indemnify and hold Silverback Software, LLC harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms.

12. Changes to the Service or Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time; material changes will be announced via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Atlanta, Georgia, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property or confidentiality matters.

14. Miscellaneous

These Terms constitute the entire agreement between you and Silverback Software, LLC regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our written consent; we may assign them without restriction.
